Confluo Terms of Service

These Terms govern your use of the Confluo application and related services ("Confluo", the "Service"), operated by Velocity Consulting Group Pte Ltd, Singapore ("Velocity", "we", "us"). By creating an account or using the Service you agree to these Terms and to the Confluo Privacy Policy, which is incorporated by reference.

1. The Service

Confluo connects, with your authorisation, to third-party messaging accounts (currently Microsoft Outlook, Microsoft Teams, and Slack) and uses automated AI processing to identify and present action items and briefings. The Service is an assistive tool: it reads and summarises; it does not send messages, and it does not act on your behalf.

2. Your account

You must be at least 18 years old and legally able to enter this agreement. You are responsible for the accuracy of your account information, for the security of your device, and for ensuring you are permitted to connect any account you connect (see Section 4).

3. No guarantee of completeness or accuracy — read this section

Confluo uses AI to identify action items. AI extraction is probabilistic. Confluo may miss items, misclassify items, mis-summarise content, surface stale items, or fail to sync. The Service is a convenience layer over your messages, not a system of record and not a substitute for reading them. You remain solely responsible for your obligations, deadlines, and commitments. You agree not to rely on Confluo as your only means of tracking any obligation whose failure could cause you loss (financial deadlines, legal deadlines, safety matters, and the like).

4. Connected accounts and workplace use

When you connect an employer-provided account, you confirm you are authorised to do so under your employer's policies. You, not Velocity, are responsible for compliance with workplace rules governing third-party access to your accounts. Your use of Microsoft and Slack services remains governed by their terms; we access them only via their official APIs with the permissions you grant, which you may revoke at any time (in-app or with the provider).

5. Subscriptions and billing

Confluo offers auto-renewing subscriptions purchased through Apple's App Store, currently US$9.99/month or US$99.99/year (subject to local pricing set by Apple). New users receive a 7-day free trial where eligible under Apple's introductory-offer rules; if you are not eligible, you will see the paid price and no trial banner. A payment method is required to start a trial; to avoid being charged, cancel in your Apple ID subscription settings at least 24 hours before the trial ends. Billing, renewal, cancellation and refund handling are managed by Apple; fees are non-refundable except as required by law or Apple's policies. Prices may change with notice; changes apply from your next renewal.

We also grant complimentary access to a small number of individually named accounts at our discretion. Complimentary access is a one-off grant to a specific account, is not a right, does not transfer if you delete and recreate your account, and may be withdrawn at any time.

If purchasing is temporarily unavailable, that does not by itself entitle you to use the Service without a subscription.

6. Acceptable use

You agree not to: use the Service to violate law or third-party rights; attempt to access other users' data; probe, disrupt, reverse engineer, or overload the Service; resell or provide the Service to third parties; or use the Service to process data you have no right to process. We may suspend or terminate accounts that breach these Terms.

7. Intellectual property

The Service, including its software, design, and branding, is owned by Velocity and its licensors. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the app for its intended purpose. Your messages and data remain yours; you grant us only the limited licence needed to operate the Service for you as described in the Privacy Policy. Feedback you provide may be used to improve the Service without obligation to you.

8. Termination

You may stop using the Service and delete your account at any time in Settings (which deletes your data as described in the Privacy Policy). We may suspend or terminate the Service or your access for breach, security risk, legal requirement, or discontinuation of the Service, with reasonable notice where practicable.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation, or that items surfaced will be complete, timely, or correctly classified (see Section 3).

10. Limitation of liability

To the maximum extent permitted by law: (a) Velocity shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, opportunities, goodwill, or data, arising from or related to the Service — including losses arising from missed, delayed, incomplete, or misclassified action items; and (b) Velocity's total aggregate liability for all claims in any 12-month period shall not exceed the greater of the amounts you paid us in that period or SGD 100. Nothing in these Terms excludes liability that cannot be excluded by law (including for fraud, or death or personal injury caused by negligence). Consumers in certain jurisdictions may have statutory rights these Terms do not limit.

11. Indemnity

You will indemnify Velocity against third-party claims arising from your breach of these Terms, your violation of law, or your connection of accounts you were not authorised to connect.

12. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes to the Terms will be notified in the app; continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your account.

13. Governing law and disputes

These Terms are governed by the laws of Singapore. Disputes shall be resolved by the courts of Singapore, which shall have exclusive jurisdiction. Consumers in the UK and EU retain any right they have under local law to bring claims in their home courts.

14. General

If any provision is unenforceable, the remainder stands. These Terms plus the Privacy Policy are the entire agreement regarding the Service. We may assign these Terms in connection with a merger, acquisition, or asset sale; you may not assign them. No waiver is implied by delay.
